1. its possible that Ultrons Encephalo beam could affect the consciousness within the Destroyer. If so, Ultron wins
2. Both Ultron and the Destroyer have matter manipulation powers, true. Destroyer seems better at it, and its disintegration beam may well work well against adamantium, meaning that Destroyer has the capacity to hurt/damage Ultron, who does not have the capacity to do the same to Destroyer. Its not an easy physical win for Destroyer, however, as it has to escalate to the point of using those powers, which aren't generally the Destroyers modus operandi
3. Ultron is smarter than the destroyer animated by most people, and has extensive files on beings in the MU. He may realize that he has to find the body of the animating being to win, and with his 'networking skills' may be able to do so fairly quickly
As such, Ultron has a few chances at winning a fight that Destroyer should win in a straight up confrontation. Good match!
